Registered Agent requirements
A Registered Agent is a person or company designated to receive official legal and government documents on behalf of a business entity. In North Carolina, every LLC, corporation, and other registered business entity is required by law to maintain a Registered Agent with a physical street address in the state.
The Registered Agent accepts service of process, which includes lawsuits, subpoenas, and official state notices, and forwards them to the business owner promptly.
Yes. North Carolina law requires every business entity formed or registered to do business in the state to maintain a Registered Agent. The agent must have a physical street address in North Carolina. A P.O. box is not acceptable.
Failure to maintain a Registered Agent can result in your business losing its good standing status with the NC Secretary of State, which can affect your ability to conduct business, enter contracts, and access the courts. You may also miss important documents served upon you and prejudice your legal rights.
Yes, you can serve as your own Registered Agent if you have a physical street address in North Carolina and are available during normal business hours to receive documents. However, many business owners choose to use a professional Registered Agent service for several reasons.
Using a professional service keeps your personal address off the Secretary of State's public record, ensures someone is available to receive documents even when you are traveling or unavailable, eliminates any awkward situations in your office or home by being served in front of customers or family, and provides immediate notification when time-sensitive legal documents arrive.
All business entities registered with the NC Secretary of State are required to maintain a Registered Agent. This includes Limited Liability Companies (LLCs), corporations, S-corporations, professional corporations, professional LLCs, nonprofit corporations, limited partnerships, and limited liability partnerships. If your entity is registered in another state but doing business in North Carolina, you are also required to designate a Registered Agent in NC.
What CCS provides
The core Registered Agent service includes a physical North Carolina street address on file with the Secretary of State, acceptance of all legal process documents and official state notices, secure and confidential document handling, independent witness to legal questions surrounding service of process, and same or next day notification when documents arrive.
Monitoring and completion of Secretary of State filings, including Annual Report preparation and submission, is available as an optional add-on service for an additional fee.
We notify you the same or next day documents are received. Time-sensitive legal and regulatory notices require fast action, and we treat every document with that urgency. You will receive a secure digital notification with the scanned document to your designated contact as soon as we process the incoming document.
Documents are forwarded securely to your designated contact via digital delivery. Every document is handled with a documented chain of custody so you have a clear record of what was received and when.
Yes. We serve clients with multiple entities under management. Volume pricing tiers apply automatically when you have multiple entities, so the per-entity cost decreases as your portfolio grows.
See our Services page for the full fee schedule by entity type and volume.
Annual Reports and SOS filings
Annual Report preparation and submission is available as an optional add-on service for an additional fee. It is not included in the base Registered Agent service.
If you would like CCS to handle your Annual Report filing, contact us to add this service to your account. We will handle the preparation and submission and notify you when it is complete.
For most North Carolina business entities, the Annual Report is due by April 15 each year.
If you have added the optional NCSOS filing service, we will send you reminders ahead of your deadline and handle the submission on your behalf.
Failure to file the Annual Report by the deadline can result in late fees and, if left unresolved, administrative dissolution of your business entity by the NC Secretary of State. A dissolved entity loses its legal protections and good standing status. We strongly recommend staying current with Annual Report filings to avoid these consequences.

To change your Registered Agent, we file a Statement of Change of Registered Agent with the NC Secretary of State. This filing updates the agent information on record for your entity. Contact us and we can process the filing for free as part of our Registered Agent services.
No. CCS is not a law firm and does not practice law. We cannot provide legal advice, respond to any litigation on your behalf, or advise your entity regarding any litigation.
If you receive legal documents that require a legal response, you should consult a licensed North Carolina Attorney. Our role is to be your physical presence in N.C and ensure those documents reach you promptly so you have the time to respond appropriately.
